4.3 User-Submitted Content

If you submit any reviews, comments, feedback, suggestions, photographs, or other content to the Site ("User Content"), you grant Jet's Pizza a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such User Content in connection with the Site and our business. 5. Payment Terms

5.4 Order Confirmation

5.5 Refund and Cancellation Policy

• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INFORMATION, OR MATERIAL ON THE SITE;
• WARRANTIES THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not warrant or represent that the menu items displayed on the Site will be available at the time of your order, that delivery times estimated on the Site will be met, or that the quality of any food, service, information, or other material obtained through the Site will meet your expectations.

Nothing on the Site constitutes professional nutritional, dietary, or medical advice. 7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL JET'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SITE OR OUR SERVICES;
• DAMAGES ARISING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SITE;
• ANY OTHER MATTER RELATING TO THE SITE OR OUR SERVICES,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza, its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable federal, state, or local law or regulation;
• Your use or misuse of the Site or our services;
• Your User Content or any content you submit, post, or transmit through the Site;
• Your violation of any third-party rights, including intellectual property rights or privacy rights;
• Your fraudulent, negligent, or willful misconduct;
• Any dispute between you and a third party related to your use of our Site or services.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

9. Governing Law and Jurisdiction

These Terms of Service, your use of the Site, and any disputes arising thereunder shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Jet's Pizza's principal place of business is located, without regard to conflict of law principles.

To the extent that any dispute is not subject to mandatory arbitration as described in Section 10 below, you and Jet's Pizza agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the applicable United States jurisdiction. You waive any objection to the laying of venue in such courts and waive any objection that such courts are an inconvenient forum.

Our services and this Site are operated from within the United States. We make no representations that the Site is appropriate or available for use in other locations. Those who choose to access the Site from outside the United States do so on their own initiative and are responsible for compliance with local laws where applicable.

Consumer protections applicable to you may include rights under the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in commerce, and, if you are a resident of the State of California, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), which provides certain rights regarding the collection, use, and sale of personal information.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Jet's Pizza at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed as set forth below.

10.2 Binding Arbitration

EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE SITE, OR OUR SERVICES — INCLUDING ANY QUESTION OF THE EXISTENCE, VALIDITY, OR TERMINATION OF THIS AGREEMENT — SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES THEN IN EFFECT.

The arbitration shall be conducted by a single, neutral arbitrator. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) shall govern the interpretation and enforcement of this arbitration provision.

You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of binding arbitration.

10.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND JET'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Small claims court actions, where eligible, are also excluded from mandatory arbitration.

11. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or our services. We may, in our sole discretion and without prior notice or liability, suspend or terminate your access to all or any part of the Site and our services for any reason, including without limitation if we believe that you have violated any provision of these Terms.

Upon termination for any reason:

We shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic events, war, terrorism, labor disputes, governmental actions, power outages, or internet service disruptions.

14.5 Electronic Communications

By using the Site and our services, you consent to receive electronic communications from us, including emails, text messages (if you have opted in), and notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

15. Allergen and Food Safety Notice

However, we cannot guarantee that any food item ordered through our Site is free from allergens, including but not limited to: gluten, dairy, eggs, soy, tree nuts, peanuts, shellfish, fish, sesame, or wheat. Our food is prepared in facilities that may handle these ingredients.
